Plain terms for a small studio.
The whole agreement in a dozen short sections. The privacy policy is the companion: what we collect, who touches it, how long it stays.
Who we are, and what this is
Portal UI is made and run by Rev Pop, a brand and design agency in Milwaukee, Wisconsin (“we”, “us”). The Portal is the back-office service described on this site: a team door at team.yourstudio.com (or yourstudio.portalui.com) and a clients’ door at projects.yourstudio.com.
These terms are the agreement between us and the studio, shop or agency that opens a portal (“you”). The person who requests the portal confirms they can agree on the studio’s behalf. Your clients and your team use the portal under your account; you’re responsible for how they use it, and nobody but you is charged.
Your portal
Each studio runs in its own workspace with its own database. We set it up with you — moving clients, invoices and hours in — rather than handing you an empty screen. Sign-in is by email link or Google account; keep those accounts safe, and tell us at once if you think someone has got in who shouldn’t have.
You choose which of your people and which of your clients can see what. The portal enforces those choices; it can’t guess them.
Your data is yours
Everything you and your clients put in — projects, hours, invoices, proposals, files, brand assets, inventory, payroll records — belongs to you. We hold it to run the service for you, and for nothing else. We don’t sell it, mine it, train on it, or show it to another studio.
For your clients’ and employees’ information you are the one responsible under privacy law; we process it on your instructions. Our Privacy Policy says what we collect and who touches it.
You can export every table as JSON from your Account page at any time, without asking.
What it costs
Plans are per studio, not per head, at the prices on the pricing page: monthly, or yearly at the lower rate. Clients are always free. A seat past your plan’s cap is billed as shown there. A one-time setup fee covers the move-in and is quoted before you agree to it.
A founding or discount rate stays as written on your Account page for as long as it says. If list prices change, your rate changes only at your next renewal and only after 30 days’ notice by email.
Fees are billed in advance and are not refunded for a partial month or year, except where the law says otherwise or we’ve made a mistake. Sales tax is added where it applies.
If a payment fails we retry it and write to you. After 30 days unpaid the portal goes read-only — your team and clients can still see everything, nobody can add to it — until it’s settled. Nothing is deleted for non-payment inside the 30-day hold described below.
Your clients
Your clients don’t need an account and aren’t bound by these terms. They open their door with an emailed link, see only what you’ve shared with them, and your relationship with them — what you charge, what you promise, how you handle their information — is yours. Our Privacy Policy tells them what we hold on your behalf.
Signing proposals online
When a client accepts a proposal or estimate in the portal, we record who signed, from which email, at what time and from which address, and attach that record to the signed document. Electronic signatures of this kind are generally binding in the United States under the ESIGN Act and state law. We provide the tool, not legal advice — whether a given signature holds up is between you, your client and your lawyer.
Getting paid through your portal
Online payments run through your own Stripe account, connected to your portal. The money goes to you; Stripe’s terms and fees apply to those payments, and so does your own agreement with your client. We aren’t a party to that transaction and don’t hold your funds.
Bank statements, when connected, are read through Plaid under its terms and your consent, and are only ever matched against your own ledger.
What you agree not to do
Use the portal for anything unlawful, to send unsolicited bulk email or texts, to store content you don’t have the right to store, or to probe, overload or interfere with the service or another studio’s workspace. Don’t resell it or pass your portal off as a product of your own. We may suspend a workspace that’s doing harm, and we’ll tell you why.
Availability, backups and support
We aim to keep the portal up all day every day and we keep it maintained, but we don’t promise uninterrupted service. Databases are backed up continuously with point-in-time restore. Support is a person, reached from the Account page or at hello@portalui.com, during Milwaukee business hours.
We may change features, add them, or retire ones nobody uses, with notice when it matters to how you work.
Ending it
You can ask to close your portal from your Account page at any time; it’s confirmed by a person, usually the same day. Your data stays for 30 days after closing so you can export it — we send the owner a copy before the end, and a reminder before deletion — then it’s deleted, except billing records the law makes us keep. Ask and we’ll delete sooner. Fees already paid for the current term aren’t refunded.
We can end the agreement if you break it and don’t put it right within 14 days of our telling you, or at once for serious misuse; either way you get a copy of your data. If we ever wind the service down you’ll have at least 90 days’ notice, billing stops, and you get a copy of everything.
Confidentiality and ownership
We keep your workspace confidential and only look inside it to support you, fix something, or where the law requires. The portal’s software, design and name belong to us; you get the right to use them while you have a portal. Anything you tell us about how the product could be better, we may use without owing you for it.
If you believe something stored in a portal infringes your copyright, write to hello@portalui.com with the details and we’ll act on it; studios that infringe repeatedly lose their portal.
What we’re not promising
The portal is provided as it is. We don’t warrant that it is error-free or fits every way of working, and we don’t give tax, legal or accounting advice — the numbers it keeps are records you and your accountant check.
To the extent the law allows, our total liability to you for anything arising from the service is capped at the fees you paid us in the twelve months before the claim, and neither of us is liable to the other for lost profits or indirect loss. Nothing here limits liability for fraud, or for anything that can’t be limited by law.
You’ll cover us for claims from your clients or employees that arise from how your studio uses the portal, except where we caused the problem.
The rest
These terms are governed by the laws of Wisconsin, and any dispute goes to the state or federal courts in Milwaukee County. If a part of these terms can’t be enforced, the rest still stands. We may update them; material changes get 30 days’ notice by email, and the date at the top always says when they last changed. Continuing to use the portal after that is agreeing to the new version.
Questions, or anything that doesn’t read right: hello@portalui.com.
